Position Overview
Schwabe, Williamson & Wyatt has an opening in the Portland office for a full-time Paralegal in the Business Department. This position requires strong computer skills and a high level of organization and accuracy with attention to detail. The successful candidate will be able to turn work around quickly, possess strong oral and written communication skills and be a self-starter who enjoys a fast paced, team environment.
Schwabe offers a hybrid work environment. Proof of COVID-19 vaccination is required.
Essential Functions:
Data entry into database with high degree of accuracy, including receipt of annual report renewal notifications;
Database maintenance and ability to extract a variety of reports;
Docketing annual report and various corporate maintenance due dates;
Service of Process;
Drafting letters to clients to forward business licenses, and other mailings made upon a company;
Drafting of Information Change forms, and letters to company to forward such forms; Preparation of PowerPoint materials;
Perform research of state corporation records to gather a variety of information regarding company registrations, including downloading of company records in database or spreadsheet format to sort and search for missing records
Support and backup to other Registered Agent Team members that may include: Drafting engagement letters and Annual Company Information Form.
Drafting Resignation as Registered Agent documents.
Receipt of daily mail.
Receipt of executed engagement letters, Annual Company Information Forms, and annual fee payments from clients.
Invoicing.
Annual Report filings.
Monthly data review in preparation of Registered Agent invoicing; assist with preparation of recurring and initial service invoices.
Approval of new company records in database; closing of company and client records in database.
Examine, analyze, organize, index and maintain files. Files consist of, but are not limited to pleadings, memoranda, research, correspondence, transaction and minute books or other corporate records.
Prepare articles of incorporation, by-laws, organization minutes, stock certificates for initial subscribers, certificate of formation, limited liability company agreement, certificate of limited partnership, and limited partnership agreement.
Prepare and maintain minute books, corporate seal, stock certificates, stock ledgers, and option grant notices.
Prepare notice, agenda, annual meeting minutes, certified list of shareholders qualified to vote at annual meeting, proxy statement, certificate of mailing, and certificate of elections.
Prepare written consent of shareholders and/or directors in lieu of regular or special meetings for approval of actions.
Prepare resolutions, waivers, minutes, Secretary’s Certificate, and transaction related documents.
Perform filings in all states of articles of incorporation/organization or foreign registration, and annual/biennial reporting, by submittal electronically or by mail or fax.

Required Education and Experience:
A high school diploma or GED
Three years of Paralegal experience
A legal assistant’s certification or paralegal certificate preferred. Any equivalent combination of experience and education will be considered.
