Key Responsibilities
SUMMARY:
The Corporate Paralegal will assist Senior Paralegals, Associates and Partners with complex corporate transactions, gaining tremendous exposure and experience with cross-border transactional matters. This position is ideal for someone looking to gain experience within a top-ranked international law firm prior to attending law school.
KEY RESPONSIBILITIES:
• Assist with due diligence investigations
• Preparation of basic filings with the Securities and Exchange Commission and other governmental agencies
• Preparation for and attendance at closings of various transactions, including assisting the client and attorneys during the closing; and preparation of closing binders to be sent to the client and other involved parties
• Serve as a liaison between attorneys and various state agencies and services
• Prepare and file certificates of incorporation, by-laws, resolutions, and foreign qualifications of companies
• Translate foreign language correspondence and documents
• Provide interpretation for foreign clients attending closings as needed
• Perform cross-reference checks
Required Skills
Bachelor’s Degree
Excellent academic credentials, graduating with a 3.3 or higher GPA
Bilingual fluency with written and verbal Spanish or Portuguese required; Additional fluency in French, German or Italian is a plus
Strong motivation to attend law or graduate school (Minimum commitment of two years employment required)
Demonstrated proficiency with Microsoft Word, Excel, Outlook and PowerPoint
Ability to work overtime and weekends
Available to start work within 2 weeks of receiving an offer of employment
