Key Responsibilities
Provide paralegal support for finance, corporate and securities groups.
Assist in the preparation and filing via EDGAR of ’34 Act reports
Assist in closing corporate transactions
Knowledge of UCCs/Article 9 (including ability to conduct and review lien searches and provide analysis of search results, make UCC filings and review relevant rules affecting perfection of security interests)
Legal Research skills (including ability to research state laws, UCC laws, securities rules and regulations via SEC websites, other relevant websites and CCH books, and obtain forms for SEC reports)
Assist in general corporate matters (including review and summary of documents; proof drafts of documents; organize documents relating to a transaction; obtain information from Internet regarding other companies including related SEC filings)
Required Skills
Paralegal certification or undergraduate degree desired
Minimum 1-2 years at a law firm or large company law department
Extensive experience with MS Word and Internet research skills; previous use of computer software to make SEC filings via EDGAR and UCC filings desirable
Excellent judgment, integrity and interpersonal skills
Excellent time management and organization skills
Problem solving and logistics aptitude
Ability to work independently with little supervision
Ability to handle multiple assignments for several attorneys simultaneously
